1. Definitions

• Applicant: The person, firm, company, trustee, trust, partnership, or entity applying for credit facilities with Us.

• Application: The document entitled Application for Trade Credit Account or Prepaid Dealer Account issued by Us.

• Customer / You / Your: The Applicant or any purchaser of the Goods from Us.

• Goods: The goods, equipment, products, or stock ordered or purchased by You.

• GST: Goods and services tax, consumption tax, value-added tax, or similar.

• GST Law: A New Tax System (Goods and Services Tax) Act 1999 as amended.

• Primary Payment: Any payment by You to Us for the price of Goods or monies payable under these Terms.

• Services: Any services provided by Us to You.

• Tax Invoice: An invoice formatted as required by GST Law showing the GST amount.

• Terms and Conditions: These terms as amended by Us from time to time.

• We / Our / Us / Seller: PRP (Platinum RP Pty Ltd), which provides the Goods.

2. General Terms and Conditions

• All Goods sold by Us are strictly subject to these Terms and Conditions.

• These Terms and Conditions and any separate agreements are governed by the laws of New South Wales (NSW), Australia, and You irrevocably submit to the exclusive jurisdiction of the Courts of NSW.

• We reserve the right to vary, update, change, or replace these Terms and Conditions at any time by written notice or by posting updates to our website.

• It is Your responsibility to check the website periodically for changes; continued use constitutes acceptance of those changes.

• PRP reserves the right to cancel or nullify any service, purchase, transaction, deal, or offer at any given time without notice or reason.

• We reserve the right to refuse service to anyone for any reason at any time.

• Any ambiguities in interpreting these Terms shall not be construed against the drafting party.

• If any provision is deemed unlawful, void, or unenforceable, it shall be severed to the fullest extent permitted by law, and the remaining provisions will remain valid.

• The obligations and liabilities of the parties incurred prior to termination survive the termination of this agreement.

• These Terms constitute the entire agreement between you and us, superseding any prior agreements or proposals.

• Our failure to enforce any right or provision shall not constitute a waiver of such right.

• Nothing in these Terms excludes, restricts, or modifies any guarantee implied by law (including the Competition and Consumer Act 2010 and Australian Consumer Law) which cannot legally be excluded.

3. Privacy Policy

• PRP collects and retains your personal information when you sign up, make purchases, or use our website.

• This information consists of your name, phone number, email address, and postal address.

• The data gives you access to purchase online, accesses our system, and allows PRP and our contractors to contact you regarding current or previous orders.

• Your submission of personal information through the store is fully governed by our Privacy Policy.

• PRP will not sell or share your information with any 3rd party unless it is for contractors working with us or if legally directed to do so by a court of law.

• PRP reserves the right to add your email address to a PRP mailing list or other advertising campaigns.

4. Purchasing, Pricing, and Account Information

• Prices and conditions for all products and services are subject to change without notice.

• Unless stated otherwise, all quoted prices are net and exclusive of GST.

• Quoted prices are based on rates of freight, insurance, customs, exchange, and production costs active on the date the quote is made.

• We must issue to You a Tax Invoice in accordance with the GST Law.

• Receiving an order number or email confirmation does not constitute our acceptance of an order or an offer to sell.

• Availability of goods is subject to change without notice.

• We reserve the right to not accept any order, correct errors, inaccuracies, or omissions (even after submission), and limit or cancel quantities purchased.

• Verification of information may be required prior to accepting an order.

• All pricing is subject to change at any time upon You receiving notice from Us.

• We may limit or cancel orders placed under the same customer account, same credit card, or same billing/shipping address.

• We reserve the right to limit or prohibit orders that appear to be placed by dealers, resellers, or distributors.

• You must provide current, complete, and accurate purchase/account information, and promptly update your email, credit card numbers, and expiration dates.

• We are not responsible if site information is inaccurate, incomplete, or not current, as it is provided for general information only.

• Historical information on the site is not current and is provided for reference only.

• We may modify site contents at any time with no obligation to update the information.

• We reserve the right to modify or discontinue the Service without notice, and we are not liable to you for any modification, price change, suspension, or discontinuance.

• We may limit the sales of products or services to any person, geographic region, or jurisdiction on a case-by-case basis.

• Offers for any product or service are void where prohibited.

• We do not warrant that product/service quality will meet your expectations or that errors will be corrected.

5. Payment Terms and Debt Recovery

• Standard Payment: Unless otherwise specified in a written agreement, all orders must be paid in full prior to processing.

• Orders are not deemed actionable without payment received.

• Agreed Terms: Where a written agreement exists, the payment terms within it apply; non-payment may result in immediate account restriction or suspension.

• Repeated Late Payment: Failure to comply with payment terms on three (3) occasions may result in the modification, reduction, or removal of previously granted discounts or benefits.

• Debt Recovery: If payment is not received within sixty (60) days of order fulfillment, PRP may engage a debt collection agency, solicitor, or other agent to recover amounts.

• All associated recovery costs and legal fees shall be borne by the customer.

• Overdue amounts may accrue interest at the maximum rate permitted by law until fully paid.

• Modification: PRP reserves the right to amend, suspend, or terminate any payment terms or agreements at any time.

• Vendor, Custom made or co-branded orders require prepayment in advance with no terms.

• 30 day Trade Credit Account holders must pay within 30 days following fulfillment notification.

• International Trade Account holders must pay prior to shipment.

• Prepaid Dealer Account holders must pay at the time the order is placed.

• You are not entitled to withhold payment of any account due to an account query, dispute, or set-off.

• Payment terms may only be varied by written agreement by Us.

6. Title, Ownership, and Risk

• Ownership of items/products remains the sole and absolute property of PRP until the invoiced amount is paid in full on all accounts.

• You possess the Goods solely as a fiduciary bailee and agent for PRP until full payment is made.

• You will store the Goods clearly showing they are the property of PRP.

• You may sell the Goods in the ordinary course of business as Our agent and must account to Us for the proceeds.

• You are liable to Us for any loss or damage to the Goods in your possession.

• If you default on payment, We have the right to retake possession, keep, or resell the Goods, and may enter your premises to do so.

• Risk in the Goods passes to You upon delivery or upon collection by You, your agent, or courier.

7. Delivery, Shipping, and Transit Liability

• Delivery times are estimates only; We are not liable for late delivery or non-delivery.

• We use different couriers depending on location/weight and reserve the right to use our preferred couriers.

• Orders are dispatched after receipt, acceptance, and payment, subject to stock availability.

• If goods are unavailable, we will contact you and may partially fulfill the order, requesting partial payment.

• Large orders must be placed at least seven (7) days in advance to prevent delays.

• We may deliver the Goods in installments unless agreed otherwise in writing.

• If requested, we can deliver directly to your customer, provided you prepay all shipping, clearances, and fees.

• We accept no responsibility for damage or loss to items from couriers once we receive a receipt for the third-party service.

• We will assist in pressing courier claims only if You notify us and the carrier in writing immediately after discovery, and lodge a claim within one (1) day of receipt.

• For shipping insurance, you must ask for it on your order or select it at checkout.

• By selecting "Authority to Leave", you waive liability from the shipper and Platinum Racing Products.

• We strongly suggest sending packages to a secure address where someone can sign for the goods.

• PRP is not liable for refunds/replacements for lost or stolen property, but we will attempt to assist in recovery.

• No partial or full refunds on shipping are provided where factors are outside PRP's control. Any shipping estimates are considered estimates only.

8. Free Shipping Policy & Import Duties

• PRP offers free shipping to the USA where the vendor includes PRP and the total exceeds $300 USD. This offer can be removed, limited or otherwise changed at PRP’s discretion and applies to unpaid orders onwards from the date of change.

• This threshold applies to combinations of PRP and other vendor products, but freight for non-PRP vendor items will be calculated separately.

• PRP may consolidate shipments; if actual dimensional/weight shipping exceeds what you paid, PRP may cover the difference at its discretion.

• Free shipping is non-refundable, cannot be redeemed for credit, and PRP reserves the right to amend, refuse, or terminate it.

• If a partial return drops the remaining total below $300 USD, shipping charges may be deducted from the refund.

• Free shipping strictly excludes: Cylinder Heads, Cylinder Blocks, Turbo Kits, Differential Conversion Kits (including carbon tail shafts & axles), Driveshafts/Axles, Gearboxes, transfer cases, and Stroker Kits.

• Free shipping covers freight costs only, not import duties, tariffs, redelivery, or surcharges.

• Orders are shipped DDU (Delivered Duty Unpaid); customers are fully responsible for all import taxes, duties, and customs fees determined by local authorities. Contact your customs department for info.

• Refused/undeliverable shipments due to unpaid customs or incorrect details will not be eligible for a refund or reshipment unless the customer agrees to pay return to sender (RTS) and restocking fees.

9. Returns, Refunds, and Cancellations

• We are not under any duty to accept returned Goods and will do so only on terms agreed in writing.

• Approved returns must be sent to Our place of business in original/agreed packaging.

• Refunds will not be provided for change of mind, incorrect choice, or custom ordered products.

• Under Australian Consumer Law, exchanges/refunds require products to be unused, in original packaging, and in saleable condition.

• Returns must be done at your expense to HQ in Australia within a reasonable time, which PRP justifies as 30 days from purchase.

• Items sold cannot be returned for credits when a sale event occurs after purchase; retrospective discounts are not allowed.

• Customers are responsible for all return shipping costs and administration fees.

• Order cancellations may incur an unavoidable restocking/cancellation fee of ≥ 5% due to 3rd party supplier and merchant fees.

• For gearboxes, turbos, engine builds, or manifolds not in inventory, restocking fees are based on the supplier, not dictated by PRP.

• If goods are damaged by courier/neglect outside your control, you must notify PRP within 14 days of receipt, or the claim is void.

• We reserve the right to offer a full or partial refund applied over staged or full payments within a 30 day period.

• Any refused deliveries or disputed import charges will be solely at the expense of the customer. Any refunds for returned stock will have those charges forfeited from the refund amount.

10. Warranties

• Lifetime Warranty applies only to PRP branded products for mechanical and manufacturing defects. It does not cover electrical items, cosmetic defects, or other brands.

• Manufacturer warranties apply to items like alternators, turbos, sensors, ECUs, and tyres.

• Due to external components, flat drive oil pumps have a limited 1-year warranty subject to review; Spline drive pumps retain a lifetime warranty after specific review.

• Warranty is only valid if products are installed by a qualified mechanic at a licensed/approved workshop; claims depend on proof of installation and verification of failure.

• Warranties cover the intended use and lifetime of the product, defined solely at the manufacturer's discretion and subject to general wear and erosion.

• If defective due to Our fault, We will replace, supply equivalent goods, repair, or pay the cost of replacement/repair.

• Warranty claims require written notice of details within a reasonable time of delivery. Goods must be left in delivered condition until inspected; otherwise, you are deemed to have accepted the goods and warranty does not apply.

• You are responsible for claim expenses, but if found defective due to Our fault, We will reimburse you upon receiving satisfactory evidence.

• Warranty is void if you tamper with products, return them in a different state, misuse them, or fail to follow specifications/instructions.

• Warranty requires returning parts to HQ in Australia for back to base assessment unless otherwise arranged.

• Warranty does NOT cover shipping costs to and from in any circumstance.

• Australian Consumer Law Statement: "Our goods come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure".

• Warranty EXCLUDES consequential damages.

• Warranty valid when fitted by trained and PRP endorsed professionals.

11. Intended Use and Limitation of Liability

• All PRP products are designed and intended for RACE/TRACK USE ONLY.

• Modifying vehicles may be illegal for road use; customers acknowledge it is their responsibility to abide by local laws and ensure their vehicle is roadworthy.

• PRP assumes no responsibility for road use modifications.

• Installations are at Your own risk. PRP holds no responsibility for mechanical, electrical, or engine/vehicle damage caused by aftermarket parts.

• All warranties regarding quality or fitness for purpose are excluded except where legally incapable of exclusion.

• PRP, its directors, employees, and affiliates are not liable for any injury, loss, or direct, indirect, incidental, punitive, or consequential damages (including lost profits, revenue, or data) arising from using the service or products.

• In jurisdictions that do not allow exclusion of incidental/consequential damages, our liability is limited to the maximum extent permitted by law.

12. Product-Specific Policies

• Coil Kits: "Plug and play" assumes the installer understands coils must be installed into the engine and plugged into a harness. Compatibility with OEM ECUs assumes a suitable ignitor or distributor delete is already installed.

• Images: Product images are for generic reference and should not be relied upon as accurate representations; seek assistance from the team for verification. We cannot guarantee your monitor's display of colors is accurate.

• Anodizing: Done in-house with state-of-the-art equipment generally within 48 hours. No partial or full refunds if an urgent request falls inside this 48-hour period.

• Silicone Hose Kits: Designed/tested for mentioned models; fitting to other vehicles is at your own risk. We cannot supply custom lengths due to model changes. Kits may include bonus hoses covering series changes. We do not refund for missing hoses not explicitly shown in photographs.

13. Giveaways and Promotional Credits

• Giveaways are governed by these Terms.

• Open to legal residents of Australia, 18 years or older.

• PRP employees, agents, and immediate family members are ineligible.

• Minimum purchase requirements will be made aware to participants.

• Participants must follow entry instructions and agree to digital marketing materials by default.

• Entries outside the specified giveaway period will not be considered.

• Prizes are specified in the announcement.

• Non-PRP manufactured giveaway products have no warranty from PRP; warranties are solely from the original manufacturer.

• Product giveaways/credits apply only to PRP manufactured products, not other vendors.

• Winners are notified via contact details provided and must claim the prize within 1 month. If unclaimed, PRP may select an alternate winner.

• By accepting, winners agree to the use of their name/likeness for advertising without additional compensation, unless prohibited by law.

• PRP reserves the right to modify, suspend, or cancel the giveaway if affected by technical issues or fraud. Undermining the giveaway may violate criminal/civil law.

14. Website Terms of Service & Third Parties

• Our store is hosted on Shopify Inc..

• By using the service, you represent the age of majority in your residence.

• You must not use products for illegal purposes, violate copyright laws, or transmit destructive worms/viruses. A breach results in immediate termination of Services.

• You understand your content may be transferred unencrypted over networks, though credit cards are always encrypted during transfer.

• You agree not to reproduce, duplicate, copy, sell, or exploit the Service without written permission.

• Prohibited Uses: Unlawful acts, violating IP rights, harassment, abuse, submitting false info, uploading malicious code, collecting others' personal info, spamming, phishing, or interfering with security features. We may terminate service for these violations.

• Third-Party Tools/Links: Provided "as is" and "as available" without warranties; we have no liability for your use of them. We do not warrant third-party materials/sites and are not liable for transactions or damages made on them. Complaints should go to the third party.

• User Comments/Feedback: Creative ideas or submissions can be used by us at any time without restriction or compensation. We may monitor/remove unlawful or offensive content at our sole discretion. Comments must not violate third-party rights, contain viruses, or use a false email. You are solely responsible for your comments.

• Errors and Omissions: We reserve the right to correct typographical errors or omissions relating to pricing/shipping and cancel orders if inaccurate. We undertake no obligation to update information except as required by law.

• Indemnification: You agree to indemnify and hold harmless PRP, its parents, affiliates, and employees from any claim or demand (including reasonable attorneys' fees) arising out of your breach of these Terms or violation of law.

• We do not guarantee the service will be uninterrupted, secure, or error-free, and you expressly agree your use is at your sole risk. We may remove or cancel the service at any time without notice.

• You may terminate the terms by notifying us you no longer wish to use the services. If we suspect you failed to comply with terms, we may terminate the agreement and deny access, holding you liable for amounts due up to termination.
